CORPORATION SECRETARY AND DIRECTOR LEGAL SERVICES, JOB GRADE 2 (3 YEARS CONTRACT) REF : 1 / 8 / 2023
Qualifications
1. At least of twelve (12) years relevant experience, six (6) of which should be in management.
2. A Bachelors degree in Law or equivalent degree from a recognized
institution;
3. Master’s degree in any of the following disciplines; Law, Business Administration, Public Administration, or equivalent qualifications from a
recognized institution;
4. Post graduate diploma in Law from the Kenya School of Law or such similar qualification from a recognized institution;
5. An advocate of the High Court of Kenya;
6. A member of the Institute of Certified Public Secretaries (K) in good standing;
7. Management course lasting not less than four (4) (Cumulative)
weeks;
8. Demonstrated results in work performance;
9. Proficiency in computer applications; and
10. Fulfilled the requirements of Chapter Six of the Constitution.

Responsibilities
1. Liaising with the Chairman and the Chief Executive Officer in scheduling of Board meetings, preparation of agenda for meetings, dispatching notices of meetings, preparing Board minutes and Board action reports;
2. Provide guidance to the Board on their duties;
3. Implementation of Mwongozo code;
4. Ensure timely preparation and circulation of Board papers;
5. Act as custodian of the Common seal and account for its use and ownership documents of assets;
6. Ensure the Board is aware of all relevant laws affecting the Organization;
7. Coordinating, monitoring and implementation of Organizations' decisions and preparing reports of Organization reports;
8. Leading & Providing legal advisory services to ensure compliance with existing law and regulatory requirements;
9. Offering legal advice during negotiations and interpreting documents;
10. Co-ordinating the preparation and reviewing of contractual agreements, Licenses and memorandum of understanding (MOUs);
11. Advising the Board and staff on new legislation, legal best practices and likely impact on operations;
12. Leading, advising and managing litigation and dispute resolution;
13. Advising on Procurement and appointment of external lawyers.
