Job Description
Overall responsibility
The overall responsibility for the position will be the provision of Board’s Secretariat as per Mwongozo Code of Governance for State Corporations and Legal Services to the Agency.
Other duties and responsibilities
• Provide Company Secretarial services to the Agency’s Board;
• Advise the Board of all relevant laws affecting the Agency;
• Provide guidance to the Board on their duties and responsibilities and on matters of governance;
• Custodian of the seal of the Agency and accounts to the Board for its use;
• Provide legal guidance on governance, contractual and statutory obligations binding to the Agency;
• Advise the Agency on various legal matters and monitor the compliance with various regulations issued by the Regulatory Bodies and Code of Conduct and Ethics;
• Coordinate litigations for the Agency;
• Attend to all legal matters of the Agency including advising, vetting, drafting and executing of legal agreements in relation to the Agency’s operations;
• Negotiate land acquisitions on behalf of the Agency and coordinate registration of various legal instruments in favour of the Agency;
• Coordinate the Legal and Compliance Audit and Governance Audit for the Agency;
• Responsible for risk management in the division;
• Coordinate development and implementation of performance management framework within the division.
• Supervise, coach and mentor staff in the division;
• Develop and periodically review the divisional standard operating procedures (SOPs).
• Coordinates on behalf of the Board:
• Board induction and training,
• Updating the Board and Committee charters,
• Preparation of Board work plans,
• Board evaluation,
• Governance audit,
• Implementation of the code of conduct and ethics;
• Ensure timely preparation and circulation of Board and Committee papers;
• Ensure timely circulation of Board and Committee minutes;
• Maintain and update the register of conflicts of interest;
• Keep custody of the Agency’s records contracts and ownership documents;
• Attending negotiations and conventions on legal issues and advising on emerging issues;
• Oversee the day-to-day operations of the Division;
• Any other duty that may be assigned from time to time
Job requirements
• Bachelor of Laws degree from a recognized institution.
• Management course lasting not less than four (4) weeks
• Postgraduate Diploma in Legal Studies from the Council of Legal Education;
• An Advocate of the High Court of Kenya of 10 years in good standing with at least a minimum period of Ten (10) years relevant work experience Five (5) years of which should be in a supervisory position.
• Valid practicing certificate;
• Member of the Law Society of Kenya (LSK);
• Certified Public Secretary (K)
• Mwongozo induction programme for Boards of State Corporations training
• Accreditation in Governance and mediation
• Have proficiency in computer application skills; and
• Experience in water sector will be an added advantage
