CORPORATION SECRETARY & MANAGER, LEGAL SERVICES - KWT3(1Position)
Duties and Responsibilities

i. Shall serve as Secretary to the Board
ii. Provide guidance to the Board on their duties and responsibilities and on
matters of governance.
iii. Assist the Board in carrying out; Board induction and training, Updating the
Board and Committee charters, Preparation of Board work plans, Board
evaluation, Governance audit, Implementation of the code of conduct and
Ethics.
iv. Ensure the timely preparation and circulation of Board and Committee papers
v. Be the custodian of the seal of the Agency and account to the Board for its
use.
vi. Maintain and update the register of conflicts of interest.
vii. Ensure that Board members are aware of all relevant laws affecting the
organisation.
viii. Facilitate effective communication between the organisation and the
shareholders.
ix. Ensure that annual returns are promptly filed with the relevant authorities.
x. Except in exceptional circumstances, ensure that Board and Committee papers
are circulated in advance of any meeting.
xi. Provide legal guidance on contractual and statutory obligations binding to the
Organization and legal duties for the Board.
xii. Coordinate litigations for the Agency.
xiii. Provide guidance on governance and adherence to statutory obligations.
xiv. Prepare all contracts, represent the Agency in court on all litigation matters.
xv. Facilitate the development of the all Bills and Policies that have bearing on the
Agency’s mandate.
xvi. Establish and manage the Legal Registry.
xvii. Establish and manage the Agency’s Securities Register for the custody and
maintenance of securities, bonds or other proprietary instruments resulting
from the Agency’s transactional activities, as required.
xviii. Provide and interpret legal information, conducting training and disseminate
appropriate legal requirements to staff.
xix. Safeguard the Agency’s interests and ensuring that they are adequately
defended before the courts.
xx. Manage, review, and monitor progress of all outstanding litigation.
xxi. Issue instructions, liaise with the Agency’s appointed Advocates with a view to
ensuring they act in the Agency’s interest while handling cases on its behalf.
xxii. Ensure the Authority complies with constitutional, regulatory and all relevant
laws in force through the provision of legal advisory services and contractual
risks are efficiently managed.
xxiii. Undertake extensive review of different requests for approval, licenses both
internal and external for purposes of ascertaining legal soundness, make
appropriate recommendations and ensure proper implementation.
xxiv. Document and maintain a record of all enforcement and compliance
assignments undertaken by the Authority’s personnel and develop legal
accountability structures in relation to enforcement assignments.
xxv. Legal drafting of the Agency’s codes, regulations, rules, guidelines, by-laws and
treaties.
xxvi. Continuously manage, review and updating of all the Agency’s codes,
regulations, rules, guidelines, by-laws and treaties for consistency with each
other, and also compliance with the National and County Legal Frameworks.
xxvii. Establish and manage the Agency’s Alternative Dispute Resolution Mechanism.
xxviii. Develop the Agency’s proactive and preventive legal policies and strategies
aimed at forestalling disputes, controversies and litigation.

For appointment to this grade, an officer must have:
i) A minimum period of ten (10) years relevant work experience three (3) of
which should have been in management.
ii) Bachelor of Laws degree from a recognized institution;
iii) Master’s Degree in any of the following disciplines; Law, Business
Administration, Public Administration, or equivalent qualifications from a
recognized institution;
iv) Postgraduate Diploma in Legal Studies from the Kenya School of Law;
v) Management Course lasting not less than four (4) weeks from a recognized
institution
vi) Admitted as an Advocate of the High Court of Kenya;
vii) Must be Certified Public Secretary
viii) Member of the Law Society of Kenya
ix) Member of the Institute of Certified Secretaries and in good standing
x) Demonstrated results in work performance including litigation.
xi) Proficiency in computer applications;
xii) Fulfilled the requirements of Chapter Six of the constitution;
